Rules of law in the legal regulation mechanism of international commercial agreements

Abstract

The purpose of the article is to formulate the essence of the category of «rules of law» in foreign legal systems in light of their application in resolving international commercial disputes via arbitration in comparison with the vision of this concept and its key features in Ukrainian jurisprudence, search for points of contact and differences in these concepts.

The scientific novelty consists in the study of the relationship between the domestic understanding of the concept of «rule of law» and the concept of «rules of law» used in some foreign legal systems and arbitration rules of leading arbitration institutions. Thus, it is argued that the potential use of the latter category in Ukrainian law must be linked to the distinction with the concept of rules of law as components of the national law system, reflecting this aspect in the definition or via the context when establishing the possibility of recourse of the parties to international commercial agreements to non-national legal regulators.

Conclusions. The concept of «rules of law» is not a clearly defined legal category, but rather serves as an «umbrella» clause that allows the parties to a contract or arbitral tribunal to apply not only national legal systems but also to recourse to transnational (non-national) legal regulators. This leads to the conclusion that there is no mandatory description of the «rules of law» by using the same features that are inherent in the rules of national law, namely their formal consolidation: «rules of law» can be enshrined in certain documents developed by international NGOs, but may also be expressed in general principles of law or international customs that are not documented; and implementation through state coercion mechanisms.
